Invitation for Prequalification of Tenderers

Capital Development and Ore Winding Unit Construction Contract

This Invitation for Prequalification follows the General Procurement Notice for this project, which was published on the EBRD website, Project Procurement Notices (http://www.ebrd.com/work-with-us/procurement.html) section on 3 March 2016.

ShalkiyaZinc LTD JSC (the “Client”) has requested the European Bank for Reconstruction and Development (the “Bank”) to grant a loan and intends to spend part of the proceeds of the loan to fund the project named “Commercial Mining of Polymetallic Ores from Shalkiya Deposit in Kyzylorda Region of the Republic of Kazakhstan Featuring Construction of Enrichment Factory”.

The Client intends prequalifying companies and consortia to tender for the following contract to be funded from part of the proceeds of the loan:

The Contract(s) on Capital Development, Associated Construction Work on Shalkiya Mine Facilities and Ore Winding Unit Installation (the “Contract(s)”). The scope(s) of work under the Contract(s) includes (include):

(A)Lot 1 – capital development works, including:

-Constructionofinclinedworkings;

-Shaftsinking;

-Construction of crushing and transfer complex;

-Horizontalworkings;

-Vertical workings, including mining of 4.5 m diameter air holes;

-Chamberworkings.

(B)Lot 2 – ore winding unit installation, including:

-Supply and installation supervision of crushing equipment;

-Supply and installation supervision of shaft conveyor equipment.

As a result of pre-qualification the Client will decide whether Lots 1 and 2 will be implemented under one Contract or under two separate Contracts, respectively.

The Client is currently carrying out the procurement procedure under the Project for the separate Turnkey Engineering, Procurement and Construction Contract for Shalkiya Lead-Zinc Project Enrichment Factory in Kyzylorda Region (the “EPC Contract”, prequalification identification number: 8268-PRE-48347). It is expected that the works under the Contract(s) will be closely interrelated with EPC Contract.

The work is to be performed on the site of the Shalkiyapolymetallic ores deposit in Kyzylorda Region, Republic of Kazakhstan.

All work on the Lots and facilities must be completed:

For Lot 1 – two yearsfrom the date of signing the relevant contract.

For Lot 2 – four years from the date of signing the relevant contract.

Prequalification and tendering for contracts to be financed with the proceeds of a loan from the Bank is open to companies and associations of companies (consortia) from any country.

The request must be accompanied by a confidentiality undertaking in the form attached to this Invitation for Prequalification of Tenderers and signed by the applicant. In the absence of a confidentiality undertaking the prequalification documents will not be furnished.

In the request for information please indicate if you are willing and ready to participate in the clarification meeting which is planned to be held in Astana.

Prequalification applications must be duly completed and delivered to: 7 Al-Farabi Avenue, Block 4A, Suite 38, Almaty, 050000, Republic of Kazakhstan not later than 11:00 AM (Almaty time) on 14 October 2016.

Documents which are received after this deadline may be rejected and returned unopened to the applicant.

ShalkiyaZinc LTD JSC (the “Client”) has requested the European Bank for Reconstruction and Development (the “Bank”) to grant a loan and intends to spend part of the proceeds of the loan to fund the project named “Commercial Mining of Polymetallic Ores from Shalkiya Deposit in Kyzylorda Region of the Republic of Kazakhstan Featuring Construction of Enrichment Factory”.

The Client intends prequalifying companies and consortia to tender for the following contract to be funded from part of the proceeds of the loan:

Turnkey Engineering, Procurement and Construction Contract for Shalkiya Lead-Zinc Project Enrichment Factory (the “Contract”). The scope of work under the Contract includes:

-drafting a complete package of design and estimate documentation (including the design and estimate documentation for the Basic Engineering, FEED and Detailed Design stages) and obtaining a positive opinion of a comprehensive state expert review thereof as applicable to the following facilities:

·Enrichment factory and tailings impoundment;

·Onsite utilities;

-supply of equipment and materials for the following facilities:

·Underground mine – winding and stowing facilities;

·Enrichment factory;

·Tailings impoundment;

·Onsite utilities;

-construction and assembly work required to build and complete all of the facilities on a turnkey basis (including the testing, start-up and adjustment, and commissioning of such facilities);

-training the Client’s personnel;

-managing the execution of the contract awarded by the Client for capital mining operations associated with the scope of work under the Contract.

The work is to be performed on the site of the Shalkiya polymetallic ores deposit in Kyzylorda Region, Republic of Kazakhstan.

All work on the facilities must be completed within 1560 days from the execution of the Contract, and:

-Managing the execution of the contract awarded by the Client for capital mining operations associated with the scope of work under the Contract (i.e., the work required to build the 4 MT winding facilities) must be completed within 400 days from the execution of the Contract

-Enrichment factory and tailings impoundment:

Phase I (with a throughput of 2 MT of ore): 750 days from the execution of the Contract

Phase II (with a throughput of 2 MT of ore): 1560 days from the execution of the Contract

-Onsite utilities: 750 days from the execution of the Contract, but before the completion of the enrichment factory and tailings impoundment.

Prequalification and tendering for contracts to be financed with the proceeds of a loan from the Bank is open to companies and associations of companies (consortia) from any country.
